Terms of Service

These Terms of Service ("Terms") are an agreement between you and TDC ("we", "us", "our"), an Ontario sole proprietorship. They apply to our website at tdcompany.ca, our client portal, and every service we provide.
By creating an account or paying for any plan, you agree to these Terms, our Privacy Policy and our Refund Policy. If you're accepting on behalf of a business, you confirm you have authority to bind that business, and "you" means that business.
1. Who our services are for
Our services are for businesses and organizations, not personal or household use. You must be at least 18 years old and able to enter into a binding contract.
2. Our services
We offer:
- Website plans (Starter and Growth): a one-time website build, then hosting, security, and a monthly allowance of content updates.
- Ads plans (Starter and Growth): setup, management and reporting of advertising campaigns on Google and Meta (Facebook and Instagram).
- Website + Ads plans: a website plan and an ads plan together at a bundled price, with the website build included at no charge.
- Add-ons, creative services and Enterprise projects: quoted or priced separately. A written quote or order for these forms part of this agreement.
Plan features, update allowances and prices are as described on our Pricing page at the time you sign up.
3. Your account and portal
You'll manage your services through our client portal. Keep your login details secure and tell us right away at info@tdcompany.ca if you believe your account has been accessed without permission. You're responsible for activity under your account.
4. Prices, billing and taxes
- All prices are in Canadian dollars and exclude applicable taxes (such as GST/HST), which are added at checkout.
- Plans are billed in advance on a recurring basis, monthly or annually, depending on the billing period you choose. By subscribing, you authorize us (through our payment processor, Stripe) to charge your payment method automatically at the start of each billing period until your plan ends.
- Annual plans are billed once per year for the full year, at the discounted annual rate.
- Website-only plans include a one-time build fee, charged together with your first plan payment: $500 CAD for Website Starter (single page) and $750 CAD for Website Growth (up to 5 pages).
- We may change our prices with at least 30 days' notice by email. Price changes never apply during a minimum term or prepaid period you've already committed to; they take effect at your next renewal after that.
5. Website build fees and free builds
- Website-only plans: the one-time build fee covers designing and building your website, including up to 2 rounds of revisions before launch. Website Starter is a single-page site. Website Growth includes up to 5 pages. Extra pages are available as add-ons.
- Website + Ads plans: your website build is included at no charge, on the condition that your Website + Ads plan stays active for its 6-month minimum term (see section 6).
- If a Website + Ads plan ends before its 6-month minimum term, for any reason other than our breach of these Terms, the build fee for your plan level ($500 CAD for Starter, $750 CAD for Growth) becomes due, as described in section 7.
6. Minimum terms and renewals
- Monthly website plans: no minimum term. They continue month to month until you cancel.
- Monthly ads plans: a minimum term of 3 months, starting on your first billing date.
- Website + Ads plans (monthly or annual): a minimum term of 6 months, starting on your first billing date.
- Annual plans: a 12-month term, paid upfront.
- After any minimum term, monthly plans continue month to month. Annual plans renew automatically for another year unless you cancel before the renewal date. We'll email you before an annual renewal.
7. Cancelling
- Monthly website plans: cancel anytime in your portal. Your plan ends at the end of the current paid billing period. Build fees are covered by our Refund Policy.
- During a minimum term: you can request cancellation in your portal. If you end your plan early, the fees for the rest of the minimum term become due, unless we agree otherwise in writing. For Website + Ads plans, instead of the remaining fees for the full 6 months, you pay the build fee described in section 5 plus any remaining fees for your first 3 months.
- After a minimum term: cancel anytime in your portal. Your plan ends at the end of the current paid billing period.
- Annual plans: you can turn off renewal at any time. Prepaid annual fees are handled under our Refund Policy.
8. Website services
- Setup: after you sign up, you'll complete a setup wizard in your portal and provide your content (business details, logo, photos and so on).
- Launch timing: we aim to launch within 7 business days after your setup is complete and we have everything we need. Launch dates are targets, not guarantees, and depend on you providing content and approvals on time.
- Revisions: you get up to 2 rounds of revisions before launch.
- Monthly updates: Starter includes up to 5 updates per month and Growth up to 10. An update is a change to existing content, such as text, photos, hours, prices or a small section tweak. New pages, new features, redesigns and integrations are not updates and are quoted separately. Unused updates don't roll over.
- Hosting: hosting, SSL security and routine maintenance are included while your plan is active. We use reasonable efforts to keep your site available but don't guarantee uninterrupted service, since hosting relies on third-party providers.
9. Who owns what (websites)
- Your content: you own your business name, logo, photos, text and other content you provide.
- Your domain: your domain name stays registered in your name and under your control. You're responsible for renewing it. We connect it to your website.
- Our work: we own the website design, code, layouts, templates and tools we create or use to deliver your site. While your plan is active and paid, you have a licence to use your website for your business.
- When your plan ends: your website is taken offline. If you'd like to keep it, you can request a site buyout for a one-time fee equal to your plan's build fee ($500 CAD for Starter, $750 CAD for Growth), plus tax, once all amounts owing are paid. We'll then provide an export of your website files, and you'll be responsible for hosting it yourself.
- We may show your completed website or campaigns in our portfolio and marketing unless you ask us in writing not to.
10. Ads services
- How ads run: we run your campaigns from advertising accounts we manage on Google and Meta. Where needed, you'll give us partner access to your Facebook Page, Instagram account or Google Business Profile so ads can appear under your business name.
- Ad budget: you choose a monthly ad budget, with a minimum of $500 CAD. Your ad budget is billed in advance with your management fee each billing period and used to buy ad placements for your campaigns. Changes to your budget take effect from your next billing period.
- Unspent budget: any unspent ad budget carries over to the next month. If your ads service ends, unspent prepaid ad budget will be refunded or credited within 30 days, less any amounts you owe us.
- No guaranteed results: advertising results depend on many factors outside our control, including competition, platform algorithms and your offer. We don't guarantee any number of leads, calls, sales or a particular cost per result.
- Platform rules: all ads must follow Google's and Meta's advertising policies. Platforms may reject, limit or remove ads, or restrict accounts, and we aren't responsible for their decisions. We may decline or pause ads for businesses or content that create policy risk, including ads related to housing, employment, credit or financial services, or political or social issues, unless agreed in writing.
- Ownership: you own the creative assets you supply. We own the ad accounts and campaign structures we build. On request, we'll provide a summary of your campaign performance data. Ad accounts are not transferable.
- Minimum term: ads plans have a 3-month minimum term so campaigns have time to learn and improve.
11. Your responsibilities
You agree to:
- Provide accurate information and respond to approval requests within a reasonable time.
- Only provide content you own or have permission to use, and make sure your content and offers are truthful and lawful.
- Hold any licences, registrations or permits your business needs.
- Not use our services for anything illegal, deceptive, harmful, or that infringes anyone's rights. We may refuse or stop service for businesses or content we reasonably believe are unlawful or high-risk.
12. Failed payments
If a payment fails, our payment processor will retry it and email you a link to update your payment method. While a payment is overdue, we may pause your ads and, after 14 days, suspend your website. Amounts owed remain payable, and services resume once your account is up to date.
13. Suspension and termination by us
We may suspend or end your services, with notice where reasonable, if you don't pay, breach these Terms, or use our services unlawfully. If we end your services without cause, we'll refund any prepaid fees for the period after your services end.
14. Third-party services
Our services rely on third parties such as Google, Meta, Stripe and our hosting providers. We aren't responsible for their outages, policy changes, pricing changes or decisions.
15. Limitation of liability
To the fullest extent permitted by law:
- Our services are provided "as is" and "as available", without warranties beyond those stated in these Terms.
- We aren't liable for indirect, incidental, special or consequential damages, including lost profits, lost revenue, lost data or business interruption.
- Our total liability for any claim relating to our services is limited to the fees you paid us in the 3 months before the claim arose.
16. Indemnity
You agree to indemnify us against claims, losses and costs (including reasonable legal fees) arising from your content, your products or services, your business activities, or your breach of these Terms.
17. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only to perform or receive the services, except where disclosure is required by law.
18. Changes to these Terms
We may update these Terms from time to time. For material changes, we'll give you at least 30 days' notice by email or in your portal. Changes won't affect a minimum term or prepaid period you've already committed to, except where required by law. Continuing to use our services after changes take effect means you accept them.
19. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree to the exclusive jurisdiction of the courts located in Ottawa, Ontario.
20. General
- Entire agreement: these Terms, our Privacy Policy, our Refund Policy and any written quote or order form the entire agreement between us.
- Severability: if any part of these Terms is found unenforceable, the rest stays in effect.
- Assignment: you may not transfer this agreement without our written consent. We may transfer it as part of a sale or reorganization of our business.
- Force majeure: neither of us is responsible for delays caused by events beyond reasonable control.
- No waiver: not enforcing a right right away doesn't mean we give it up.
